“HEALTH SPA & RESORT VACATION FOR TWO” GIVEAWAY OFFICIAL RULES

1. Eligibility. No flu vaccination necessary to enter or win. Actual proof of a flu vaccination shot does not improve your chances of winning. Open to legal residents of the continental US only, who are at least 18 years of age as of September 1, 2008 and employed by a participating corporate seasonal flu vaccination program client of Affiliated Physicians (Sponsor). Employees of Affiliated Physicians and its affiliates, suppliers, advertising agencies, and the immediate families (spouse, parents, siblings and children and their spouses), and persons living in the same household of such individuals are not eligible. Void wherever prohibited.

2. How to enter: At the time of vaccination by Affiliated Physicians, the participant will receive one “Official Entry Card”. The Official Entry Card provides an Internet address for access to an online Entry Form. Enter the drawing by completing and submitting the online Entry Form as directed. Alternative means of entry: Print your name, the company name of your employer and title the card, "Enter Me In The 2008 Affiliated Physicians Sweepstakeson" a 3” x 5” post card and mail to: Affiliated Physicians, 18 East 48th Street, 2nd Fl., New York, NY 10017, Attn.: Health Spa Vacation Giveaway. The Sweepstakes runs from 12:00 a.m. Eastern Standard Time (“EST”), September 1, 2008 through 11:59 p.m. EST, December 31, 2008 (the “Sweepstake Period”). All entries must be received by 11:59 p.m. EST on December 31, 2008. One entry per person/e-mail address/mailing address only regardless of the method of entry. Online entries will be deemed made by the authorized account holder of the e-mail address submitted at the time of entry. The authorized account holder is the natural person who is assigned to the e-mail address by an Internet access provider, online service provider, or other organization that is responsible for assigning e-mail addresses or the domain associated with the submitted e-mail address. All entries and requests become Sponsor’s property and will not be returned or acknowledged.

3. Prizes/Approximate Retail Value (ARV): One (1) Grand Prize: a weekend spa vacation for two persons sharing the same accommodations. Includes: 3 days/4 nights at Royal Hideaway in Playa Del Carmen, Mexico. Round trip, non-stop air from Kennedy Airport, NY, NY. All meals, drinks, non-motorized water sports, tax, tip airport transfers. Not included: government fees, taxes, gratuities, and items of a personal nature. Travel must be completed by December 31, 2009. Certain restrictions apply. Alternative Grand Prize: $3,200.00 Cash. Ten (10) First Prizes: Apple iPod Shuffle. ARV $79.00. One Hundred (100) Second Prizes: $10 Gift Card. No cash or prize substitution except as indicated. No prize transfer. Winners are responsible for all taxes on prizes and for any expenses not specified relating to the acceptance and use of a prize. An IRS Form 1099 will be filed for Grand Prize.

4. Selection and Notification of Winners: Winners will be chosen on or about January 7, 2009, in a random drawing from all eligible entries received. Odds of winning depend upon the number of eligible entries received. Winner will be notified by mail, phone, or e-mail. Non-winning entries will not be notified. Grand Prize winner will be required to sign and return an Affidavit of Eligibility and Liability Release and, where lawful, a Publicity Release within time specified in notification or the Prize may be forfeited and an alternate winner will be selected. Grand Prize winner’s travel companion will be required to sign a Liability/Publicity Release; if the companion is a minor, the minor’s parent or legal guardian who must ratify and confirm the Release. Winners of First and Second Prizes may be required to sign and timely return a Declaration of Eligibility and a Liability Release and, where lawful, a Publicity Release. Return of any Prize notification as undeliverable or failure to timely return any prize document will result in disqualification and an alternate winner will be selected.

5 General: By participating in the Sweepstakes, entrant agrees: (i) to be bound by these Official Rules, including all eligibility requirements and all decisions of Sponsor; (ii) to hold Sponsor, participating corporate seasonal flu vaccination program client of Sponsor and their respective officers, directors, employees, agents, affiliates, subsidiaries, and parents harmless from any and all liability, claims, or actions of any kind, including, without limitation, property damage, personal injury, and/or death, arising out of the Winner’s participation in the Sweepstakes, and acceptance and/or use or misuse of the Prize in connection with the Sweepstakes; and (iii) if a winner, to the use by Sponsor of name, voice, likeness, town and biographical information in all media without further compensation or prior approval for promotional, publicity and advertising purposes, except where prohibited by law. Sponsor is not responsible for lost, late, illegible, misdirected, damaged, incomplete, or garbled entries. Sponsor not responsible for any: (a) telephone, computer, or network malfunction or error; (b) communication disruption , including disruption related to Internet traffic, virus, bug, or non-authorized intervention; or (c) damage caused by computer virus or otherwise resulting to any computer from entrant's access of the Sweepstakes Web site. If such malfunction, error, disruption, or damage occurs or any other matter impairs the administration, security, fairness, integrity, or proper play of the Sweepstakes, Sponsor may, in its sole discretion, suspend, modify or terminate the Sweepstakes by posting a notice on the Web site. If the Sweepstakes is terminated before the end date, Sponsor will determine the winner from all eligible entries received as of the termination date. Persons found tampering with or abusing any aspect of the Sweepstakes, or whom Sponsor believes to be causing any malfunction, error, disruption, or damage will be disqualified. Sponsor reserves the right to disqualify any unauthorized Internet entries, including, without limitation, more than one entry from the same person per day, or any entries made through robotic, automatic, mechanical, programmed or similar entry duplication method and to disqualify any individual using such a method. Sweepstakes is governed by the laws of the State of New York and any action pertaining to the Sweepstakes may be brought only in a federal or state court located in the County of New York.

8. For the name of the Winners, send a separate stamped, self-addressed envelope to: Affiliated Physicians, c/o HEALTH SPA VACATION 2008 GIVEAWAY, 18 East 48th St., New York, NY 10018. All requests must be received by February 10, 2009.
